1. Introduction and Acceptance
Welcome to Qrafteq Brand Systems Nigeria (“Qrafteq,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website (qrafteq.com), services, and products.
By accessing our website, engaging our services, or entering into an agreement with Qrafteq, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
These Terms constitute a legally binding agreement between you and Qrafteq Brand Systems Nigeria. Please read them carefully.
2. Services Overview
Qrafteq provides comprehensive business registration, brand development, and growth systems for Nigerian startups and small businesses, organized into three primary service categories:
2.1 START Services
Business registration and legal foundation services, including:
- Business Name Registration and Company Registration (Limited Liability Company)
- Tax Identification Number (TIN) acquisition
- Corporate Affairs Commission (CAC) compliance
- Prescribed Shareholders’ Capital (PSC) compliance
- Business bank account setup
- Basic logo and visual identity design
- Domain registration and basic website setup
2.2 BUILD Services
Brand development and digital infrastructure services, including:
- Brand messaging and positioning strategy
- Professional website design and optimization
- Logo and comprehensive visual identity creation
- SEO setup and Google Analytics implementation
- Email marketing systems
- Product and service design consultation
- Social media profile optimization
2.3 GROW Services
Marketing execution and revenue scaling services, including:
- Social media advertising and campaigns
- Search and display advertising
- Customer Relationship Management (CRM) and automation setup
- Growth strategy and analytics
- Content marketing
- Lead generation campaigns
- Ongoing legal and tax compliance support
Additional services, packages, and custom solutions may be offered and are subject to separate agreements or addenda to these Terms.
3. Client Obligations
3.1 Accurate Information
You agree to:
- Provide accurate, complete, and current information required for service delivery
- Verify all information before submission to government agencies (CAC, FIRS, etc.)
- Notify us immediately of any changes to your information
- Take responsibility for the accuracy of all client-provided content
3.2 Cooperation and Communication
You agree to:
- Respond promptly to requests for information, approvals, or feedback
- Provide necessary documents, credentials, and access within agreed timelines
- Maintain open communication throughout the service delivery process
- Designate a primary point of contact for project coordination
3.3 Legal Compliance
You agree to:
- Comply with all applicable Nigerian laws and regulations
- Ensure your business activities are legal and properly licensed
- Not use our services for any unlawful or fraudulent purposes
- Maintain compliance with CAC, PSC, and other regulatory requirements after service delivery
3.4 Payment Obligations
You agree to:
- Pay all fees as specified in your service agreement or invoice
- Make timely payments according to the agreed payment schedule
- Cover any government fees, statutory charges, or third-party costs as outlined
- Understand that refunds are subject to our refund policy (Section 6)
4. Service Delivery and Timelines
4.1 Estimated Timelines
Service delivery timelines are estimates based on typical processing times:
- START services: 2-5 business days (CAC processing times may vary)
- BUILD services: 4-6 weeks (depending on project scope)
- GROW services: Ongoing (with initial setup taking 1-2 weeks)
These timelines are subject to:
- Timely client cooperation and provision of required information
- Government agency processing times (CAC, banks, etc.)
- Project scope and complexity
- Availability of third-party services
4.2 Delays and Extensions
Qrafteq is not liable for delays caused by:
- Client failure to provide required information or approvals
- Government agency processing delays
- Third-party service provider issues
- Force majeure events (see Section 12)
- Changes to project scope requested by the client
4.3 Project Milestones
For BUILD and GROW services, we work in phases with defined milestones. Client approval is required at key milestones before proceeding to the next phase. Delays in client approval may extend overall project timelines.
5. Fees and Payment Terms
5.1 Service Fees
All service fees are outlined in your:
- Service agreement or proposal
- Invoice or payment request
- Website pricing information (subject to confirmation)
Fees are quoted in Nigerian Naira (₦) unless otherwise specified.
5.2 Payment Structure
Payment terms vary by service package:
- START services: Typically 50% upfront, 50% upon completion
- BUILD services: May require deposit and milestone-based payments
- GROW services: Monthly retainer or campaign-based billing
- Custom packages: As specified in service agreement
5.3 Government and Third-Party Fees
Client is responsible for all government fees and third-party costs, including but not limited to:
- CAC registration fees and stamp duties
- Bank account opening charges
- Domain registration and hosting fees
- Advertising platform costs (Facebook Ads, Google Ads, etc.)
- Software subscriptions and licenses
These fees are separate from Qrafteq’s service fees unless explicitly included in a package price.
5.4 Late Payments
Late payments may result in:
- Suspension of services until payment is received
- Late payment fees (2% per week of outstanding balance)
- Cancellation of service agreement after 30 days of non-payment
- Legal action to recover outstanding amounts
5.5 Currency and Payment Methods
We accept payment via:
- Bank transfer to our designated account
- Online payment platforms (Paystack, Flutterwave, etc.)
- Other methods as mutually agreed
All payments are non-refundable except as specified in Section 6.
6. Refund and Cancellation Policy
6.1 START Services Refunds
- Before CAC submission: 50% refund of fees paid (minus any work completed)
- After CAC submission: No refund (due to non-refundable government fees)
- CAC rejection: We will work with you to resolve issues at no additional charge for one resubmission
6.2 BUILD Services Refunds
- Before work begins: Full refund minus 10% administrative fee
- After first milestone approval: Refund of unused portion minus work completed
- After 50% completion: No refunds, but we will complete the agreed scope
6.3 GROW Services Refunds
- Monthly retainers: 30 days’ notice required for cancellation; no mid-month refunds
- Campaign-based services: Refund of unspent advertising budget; service fees non-refundable once campaign launches
6.4 Client-Initiated Cancellation
If you cancel services:
- Provide written notice via email
- All completed work and expenses incurred up to cancellation date are payable
- Any refunds will be processed within 14 business days
- All delivered materials remain Qrafteq property until full payment is received
7. Intellectual Property Rights
7.1 Client-Provided Materials
You retain ownership of all materials you provide to us (content, images, documents, etc.). By providing materials, you grant Qrafteq a license to use them for service delivery purposes.
You represent and warrant that:
- You own or have rights to all materials provided
- Materials do not infringe on third-party intellectual property rights
- You have authority to grant us license to use the materials
7.2 Qrafteq-Created Materials
Upon full payment of all fees, ownership of deliverables (logos, websites, marketing materials, etc.) transfers to you, subject to the following:
- Before full payment: Qrafteq retains all rights to deliverables
- After full payment: You receive full ownership and rights to use, modify, and distribute deliverables
- Third-party elements: Licensed elements (stock photos, fonts, etc.) remain subject to their original licenses
7.3 Qrafteq Intellectual Property
Qrafteq retains ownership of:
- Our proprietary systems, processes, and methodologies
- Templates, frameworks, and tools developed by Qrafteq
- Our brand name, logo, and marketing materials
- Any pre-existing intellectual property used in service delivery
7.4 Portfolio and Marketing Use
We reserve the right to:
- Use completed projects in our portfolio and case studies
- Display your business name and project details as a testimonial (with your permission)
- Reference our work for you in marketing materials
If you prefer confidentiality, please notify us in writing.
8. Warranties and Disclaimers
8.1 Our Warranties
Qrafteq warrants that:
- Services will be performed with reasonable skill and care
- We will comply with applicable Nigerian laws and regulations
- We have the right and authority to provide the services
- Deliverables will be free from material defects for 30 days after delivery
8.2 Client Warranties
You warrant that:
- All information provided is accurate and complete
- You have authority to enter into this agreement
- Your business activities are legal and properly authorized
- You will not use our services for illegal purposes
8.3 Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Services are provided “as is” and “as available”
- We make no guarantees regarding CAC approval timelines or outcomes
- We do not guarantee specific business results, revenue, or ROI from GROW services
- We are not responsible for third-party service failures (hosting, payment processors, etc.)
- Marketing results may vary and are not guaranteed
- We disclaim all implied warranties of merchantability and fitness for a particular purpose
8.4 No Legal or Financial Advice
Qrafteq is not a law firm, accounting firm, or financial advisory service. Our services do not constitute legal, tax, or financial advice. We recommend consulting with licensed professionals for such matters.
9. Limitation of Liability
9.1 Maximum Liability
To the fullest extent permitted by Nigerian law, Qrafteq’s total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.
9.2 Excluded Damages
Qrafteq shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, business opportunities, or data
- Cost of substitute services or products
- Damages arising from third-party actions or failures
- CAC rejection or delays in government processing
- Marketing campaign performance or advertising results
- Website downtime due to hosting provider issues
9.3 Exceptions
The above limitations do not apply to:
- Damages caused by our willful misconduct or gross negligence
- Liability that cannot be excluded under Nigerian law
- Personal injury or death caused by our negligence
10. Indemnification
You agree to indemnify, defend, and hold harmless Qrafteq, its officers, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your violation of any law or regulation
- Your infringement of third-party intellectual property rights
- Information or materials you provide to us
- Your use of deliverables after service completion
- False or misleading information provided to government agencies
11. Confidentiality
11.1 Confidential Information
Both parties agree to maintain confidentiality of sensitive business information shared during the service relationship, including:
- Business strategies and financial information
- Proprietary processes and methodologies
- Client lists and customer data
- Trade secrets and confidential materials
11.2 Exceptions
Confidential information does not include information that:
- Is or becomes publicly available through no breach of this agreement
- Is independently developed without use of confidential information
- Is rightfully received from a third party without confidentiality obligations
- Must be disclosed by law or court order
11.3 Duration
Confidentiality obligations survive for 2 years after termination of the service relationship.
12. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including:
- Natural disasters, pandemics, or acts of God
- War, terrorism, civil unrest, or government actions
- Strikes, labor disputes, or supply chain disruptions
- Internet or telecommunications failures
- Government agency closures or processing delays
If a force majeure event exceeds 60 days, either party may terminate the agreement without penalty.
13. Dispute Resolution
13.1 Negotiation
In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation for a period of 30 days.
13.2 Mediation
If negotiation fails, parties agree to attempt mediation through a mutually agreed mediator in Lagos, Nigeria before pursuing legal action.
13.3 Arbitration
If mediation fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act (Cap A18) Laws of the Federation of Nigeria.
13.4 Legal Action
As a last resort, any legal proceedings shall be brought exclusively in the courts of Lagos State, Nigeria.
14. Termination
14.1 Termination by Client
You may terminate services by:
- Providing 30 days’ written notice
- Paying for all work completed up to termination date
- Understanding that refunds are subject to Section 6
14.2 Termination by Qrafteq
We may terminate services immediately if:
- You breach these Terms
- You fail to make required payments after 30 days’ notice
- You provide false or misleading information
- Your business activities are illegal or violate our policies
- Continuation would violate applicable laws
14.3 Effects of Termination
Upon termination:
- All outstanding payments become immediately due
- Qrafteq will deliver work completed to date upon payment
- Client access to Qrafteq systems and materials will be revoked
- Confidentiality and intellectual property provisions survive
15. General Provisions
15.1 Entire Agreement
These Terms, together with any service agreement, proposal, or invoice, constitute the entire agreement between you and Qrafteq and supersede all prior communications and agreements.
15.2 Amendments
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated “Last Updated” date. Continued use of services after changes constitutes acceptance.
Material changes will be communicated via email when possible.
15.3 Assignment
You may not assign or transfer your rights or obligations under these Terms without our written consent. Qrafteq may assign these Terms to any successor or affiliate.
15.4 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15.5 Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
15.6 Relationship
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Qrafteq.

15.8 Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria without regard to conflict of law principles.
15.9 Language
These Terms are written in English. Any translations are for convenience only. In case of conflict, the English version prevails.

Acceptance
By using Qrafteq’s services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
