Terms of Service

The agreement that governs your use of Qrafteq Brand Systems and all services we provide

Plain English Summary: These Terms cover the agreement between you and Qrafteq when you use our website or hire us to register your business, build your brand, or grow your revenue. You are responsible for providing accurate information. We are responsible for delivering what we agreed. Payment is due as specified per engagement. Deliverables and timelines depend on you providing what we need promptly. Nigerian law governs everything.

1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Qrafteq Brand Systems Nigeria ("Qrafteq," "we," "us," or "our"), governing your use of our website at qrafteq.com and all services we provide.

By accessing our website, submitting a service request, making a payment, or engaging our services in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms in full.

If you are engaging our services on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.

If you do not agree with any part of these Terms, please do not use our website or engage our services. Continued use of qrafteq.com or payment for any Qrafteq service constitutes your acceptance of these Terms.

2 About Qrafteq

Qrafteq Brand Systems Nigeria is a business setup and growth agency based in Lagos, Nigeria. We help Nigerian entrepreneurs and businesses Start, Build, and Grow — covering legal registration, brand development, and revenue systems.

Our services are delivered through a structured three-phase system:

CAC registration, TIN, VAT, bank documentation, and compliance calendar — the legal foundation.
Phase Two
Build
Brand identity, website development, business email, Google Business Profile, and SEO foundation.
Phase Three
Grow
Google Ads, Meta Ads, SEO strategy, email automation, lead generation, and social media management.

Qrafteq operates in compliance with the Companies and Allied Matters Act (CAMA) 2020, the Nigeria Data Protection Act (NDPA) 2023, and all applicable Nigerian law.

3 Our Services

The specific services Qrafteq will deliver to you are agreed upon during your onboarding consultation and confirmed in a service agreement, invoice, or written communication (WhatsApp, email, or formal proposal) between you and Qrafteq.

Services not explicitly included in your confirmed scope are not covered under these Terms and would require a separate written agreement and additional fees.

4 Engagement & Onboarding

An engagement with Qrafteq begins when one or more of the following occur:

  • You make a payment (in full or in part) for a Qrafteq service
  • You sign or acknowledge a service agreement, proposal, or written scope of work
  • You provide written confirmation (via WhatsApp or email) accepting our quoted terms and scope

Prior to engagement, we typically conduct a free strategy session to assess your situation, confirm the services required, and provide a clear cost breakdown. No work begins until scope and payment terms are confirmed in writing.

📋 What Happens at Onboarding
Once engaged, we will send you a service brief or onboarding form requesting the specific information we need to begin your project. Timelines start from the date we receive your completed onboarding materials, not from the date of payment.

5 Fees & Payment

5.1 Pricing

All fees are quoted in Nigerian Naira (₦) unless otherwise agreed in writing. Pricing is confirmed at the point of engagement and is subject to the scope discussed. Qrafteq reserves the right to adjust pricing for future engagements with reasonable notice.

5.2 Payment Terms

  • Registration and compliance services require full payment before work begins
  • Brand and website projects require a minimum 50% deposit before work begins, with the balance due before final delivery
  • Growth retainers are billed monthly in advance and must be paid within 5 business days of the invoice date to maintain uninterrupted service
  • Government fees (CAC filing fees, FIRS charges, etc.) are charged separately and must be paid before the relevant application is submitted

5.3 Late Payment

If payment is not received by the agreed date, Qrafteq reserves the right to pause or suspend work on your project until payment is received. Outstanding balances may attract a late payment fee of 1.5% per month on the overdue amount.

5.4 Payment Methods

Payments are accepted via bank transfer to our designated business account, Paystack, or Flutterwave. Payment details will be provided on your invoice. We do not accept cash payments.

6 Delivery & Timelines

Estimated delivery timelines are provided in good faith and are contingent on timely provision of required information, materials, and approvals by the Client.

⏱️ Timelines & Delays
Qrafteq is not responsible for delays caused by: slow Client feedback or approvals, late provision of required documents or materials, third-party processing times (CAC, FIRS, banks), force majeure events, or technical issues outside our control. If a Client delay exceeds 14 days, the project may be moved to a queue and timelines reset.

7 Client Responsibilities

A successful engagement requires active participation from you. By engaging Qrafteq, you agree to the following responsibilities:

  • Provide accurate information: All information you provide for business registration, branding, or marketing purposes must be accurate, complete, and truthful. Qrafteq is not liable for rejected applications, penalties, or errors arising from information you provided incorrectly.
  • Respond promptly: Timely responses to briefs, feedback requests, and approval requests are essential. Delays caused by slow Client responses may extend project timelines accordingly.
  • Provide required documents: You are responsible for supplying all documents and materials listed in your onboarding brief by the agreed date.
  • Maintain compliance: You are responsible for ongoing legal and tax compliance after we have completed your registration. We will provide a compliance calendar, but filing deadlines remain your responsibility.
  • Use deliverables lawfully: You agree to use all assets, registrations, and services delivered by Qrafteq only for lawful purposes and in compliance with Nigerian law.
  • Settle government fees: CAC filing fees, government levies, and third-party charges are your responsibility and are separate from our service fees.

8 Intellectual Property

8.1 Ownership of Deliverables

Upon receipt of full payment for a project, all creative deliverables produced by Qrafteq exclusively for you — including logo designs, brand identity files, website design and code, and marketing materials — become your property.

8.2 Qrafteq's Prior Work & Tools

Qrafteq retains all rights to its proprietary systems, methodologies, templates, frameworks, processes, and tools used in delivering your project. Ownership of deliverables does not transfer our underlying intellectual property to you.

8.3 Portfolio Use

Unless you request otherwise in writing before project completion, Qrafteq reserves the right to display your completed project (logo, website, brand identity, campaign results) in our portfolio, case studies, and marketing materials. Client names and specific financial data will not be shared without explicit written consent.

8.4 Third-Party Assets

If your project incorporates licensed third-party assets (stock images, fonts, icons, plugins), the applicable licences for those assets are governed by the original licensors. We will inform you of any such assets used in your deliverables.

📋 Registered Business Names & Trademarks
A CAC-registered business name does not constitute trademark protection. If you wish to protect your brand name or logo as a trademark in Nigeria, this is a separate process through the Trademarks, Patents and Designs Registry. We can advise on this upon request.

9 Confidentiality

Both parties agree to treat as confidential any proprietary, financial, legal, or business information shared during the course of the engagement that is not publicly available.

Qrafteq will not disclose your confidential information to third parties except:

  • As necessary to deliver your services (e.g., submitting documents to the CAC or FIRS)
  • As required by Nigerian law or regulatory authorities
  • With your explicit written consent

You agree not to disclose Qrafteq's proprietary pricing structures, internal processes, or methodologies to third parties without our written consent.

These confidentiality obligations survive the termination of your engagement with Qrafteq for a period of two (2) years.

10 Limitation of Liability

To the fullest extent permitted by Nigerian law, Qrafteq's total liability to you for any claim arising from or related to our services shall not exceed the total fees paid by you to Qrafteq in the three (3) months immediately preceding the event giving rise to the claim.

Qrafteq shall not be liable for:

  • CAC, FIRS, or bank rejections caused by inaccurate or incomplete information you provided
  • Delays in government processing times beyond our control
  • Loss of revenue, profits, clients, or business opportunities arising from delays or service issues
  • Indirect, incidental, consequential, or punitive damages of any kind
  • Actions or omissions of third-party platforms (Meta, Google, Paystack, etc.)
  • Business outcomes, sales results, or marketing performance — as these depend on factors including market conditions, competition, and your own business operations
⚠️ Marketing & Growth Results
While Qrafteq applies proven strategies and best practices to every growth engagement, we do not guarantee specific revenue targets, ad performance metrics, ranking positions, or return on ad spend. Results vary based on industry, competition, budget, and market conditions outside our control.

11 Warranties & Disclaimers

11.1 Qrafteq's Warranties

Qrafteq warrants that:

  • We will perform all services with reasonable skill, care, and diligence
  • We will process your CAC registration in accordance with CAMA 2020 and current CAC procedures
  • All website and brand deliverables will be original work or properly licensed
  • We will act in your best interest throughout the engagement

11.2 Disclaimers

Qrafteq does not warrant that:

  • Government applications (CAC name reservations, TIN registrations, etc.) will be approved — approval decisions rest with the relevant government agency
  • Websites will be free from all bugs or compatible with every browser or device
  • Marketing campaigns will achieve any specific result or return
  • Information on qrafteq.com constitutes legal or financial advice — for formal legal or tax advice, please consult a qualified Nigerian lawyer or accountant

12 Cancellation & Refunds

All refund requests must be submitted in writing to info@qrafteq.com. Approved refunds will be processed within 10 business days.

13 Termination

13.1 Termination by Client

You may terminate an ongoing engagement at any time by providing written notice to Qrafteq. For monthly retainers, a minimum of 30 days' written notice is required. Fees for work completed up to the date of termination remain due and payable.

13.2 Termination by Qrafteq

Qrafteq reserves the right to terminate your engagement with immediate effect if:

  • You fail to make payment by the agreed due date after a written reminder
  • You provide false, misleading, or fraudulent information
  • You request that we perform services that are unlawful, unethical, or in violation of Nigerian law
  • You engage in abusive, threatening, or unreasonable conduct toward Qrafteq staff
  • You materially breach any provision of these Terms and fail to remedy the breach within 7 days of written notice

13.3 Effect of Termination

Upon termination, all outstanding fees become immediately due and payable. Qrafteq will deliver all completed work-in-progress to you upon receipt of all outstanding payments. Provisions of these Terms that by their nature should survive termination (including confidentiality, intellectual property, and payment obligations) shall continue to apply.

14 Third-Party Services

In the course of delivering our services, we may work with or recommend third-party platforms, tools, or service providers including but not limited to:

  • Government agencies: Corporate Affairs Commission (CAC), FIRS, State Internal Revenue Services
  • Payment platforms: Paystack, Flutterwave
  • Digital platforms: Google (Ads, Analytics, Workspace), Meta (Facebook, Instagram)
  • Hosting & domain providers
  • Scheduling tools: Calendly

Qrafteq is not responsible for the performance, policies, pricing changes, or terms of third-party services. Your use of third-party platforms is subject to their own terms of service and privacy policies. We will inform you of any third-party platforms used in your project and obtain your agreement before proceeding.

15 Website Use

15.1 Permitted Use

You may access and use qrafteq.com for the purpose of learning about our services, requesting a consultation, or engaging our services. You agree not to:

  • Use the website for any unlawful or fraudulent purpose
  • Attempt to gain unauthorised access to any part of the website or its underlying systems
  • Scrape, copy, or reproduce website content without our written permission
  • Transmit harmful, offensive, or disruptive code or content through the website
  • Misrepresent your identity or affiliation when contacting us through the website

15.2 Website Availability

We aim to keep qrafteq.com accessible at all times but do not guarantee uninterrupted availability. We may take the website offline for maintenance, updates, or reasons beyond our control without prior notice.

15.3 Accuracy of Information

While we strive to keep information on qrafteq.com accurate and up to date, service details, pricing, and timelines shown on the website are indicative only. Final scope and pricing are confirmed at the point of engagement. Information on qrafteq.com does not constitute legal or financial advice.

16 Changes to These Terms

Qrafteq reserves the right to update or modify these Terms at any time to reflect changes in our services, business practices, or applicable law. When we make material changes, we will:

  • Update the "Effective Date" at the top of this page
  • Post the updated Terms at qrafteq.com/terms
  • Notify active clients by email or WhatsApp of significant changes

Your continued use of our website or services after updated Terms are posted constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you should cease using our services and provide written notice of termination.

17 Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including the Companies and Allied Matters Act (CAMA) 2020, the Nigeria Data Protection Act (NDPA) 2023, and all other applicable Nigerian legislation.

17.1 Dispute Resolution

In the event of any dispute arising from or in connection with these Terms or our services, the parties agree to first attempt to resolve the matter amicably through good-faith negotiation. Either party may initiate this process by sending a written notice of dispute to the other party.

If the dispute is not resolved within 30 days of the written notice, either party may refer the matter to a mutually agreed mediator or proceed to litigation in the courts of Lagos State, Nigeria.

17.2 Jurisdiction

Any legal proceedings arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria. Both parties submit to the personal jurisdiction of such courts.
